(OTC: RAKR) today announced the appointment of Ryan Moore and Michael Skinner to its Board of Directors as part of a leadership transition following Michael O’Connor’s decision to resign from his positions as director and Interim Chief Executive Officer for health reasons.

In anticipation of his resignation, Mr. O’Connor contacted the holders of the Company’s Series A Preferred Stock and requested that they identify candidates to support the leadership transition. The Series A Preferred Stockholders unanimously selected Mr. Moore and Mr. Skinner as their designees for appointment to the Board. In accordance with the Company’s governing documents and applicable corporate procedures, Mr. Moore and Mr. Skinner were subsequently appointed as directors.

Following their appointments, Mr. O’Connor resigned from his positions as director and Interim Chief Executive Officer, completing the leadership transition. The Board thanks Mr. O’Connor for his service and contributions to Rainmaker and wishes him well as he focuses on his health.

Initial Assessment and Corporate Review
The newly appointed directors’ immediate priority is to conduct a comprehensive review of Rainmaker’s financial position, public reporting obligations, corporate governance, contractual commitments, operations, and existing resources to determine the appropriate path forward.

Rainmaker is currently quoted on the OTC Expert Market following delinquent public reporting. The Company intends to develop and implement a plan to address its outstanding SEC periodic reporting and related compliance obligations, with the objective of bringing its required filings current as soon as practicable.

This assessment will serve as the foundation for subsequent decisions concerning the Company’s governance, staffing, financial structure, and operations.

Commercial and Operational Strategy
In parallel with the corporate review, the new directors intend to develop a business and operational plan focused on building Rainmaker’s U.S. commercial activities around its existing exclusive distribution agreement with Miranda Water Technologies for Miranda’s water and wastewater treatment products and services. This relationship is expected to form the core of Rainmaker’s U.S. commercial activities, including marketing, sales, implementation, and customer support.

Rainmaker also intends to continue the commercialization of its Air-to-Water technology platform, which was substantially redesigned in 2025 through engineering services provided by Miranda Water Technologies. Pursuant to existing commercial arrangements, Miranda is expected to continue promoting Rainmaker’s Air-to-Water technology through its global distribution and reseller network.

As part of their review, Mr. Moore and Mr. Skinner will evaluate the resources, staffing, financing, and operational capabilities required for Rainmaker to execute these responsibilities effectively.
